EOOD and OOD: the two forms we register, side by side
The OOD is Bulgaria's LLC or Ltd, and an EOOD is an OOD with one owner. Our guide to EOOD or OOD in Bulgaria helps to choose.
| Name | EOOD | OOD |
|---|---|---|
| Owners | One person or one company | Two or more, people or companies |
| Share capital | From €1 | From €1, in shares of €0.01 or more |
| Founding document | Deed of incorporation | Articles of association |
| Management | The owner in person, or a director the owner appoints | One or more directors, who need not be partners |
| Decisions | The owner alone, in a written record | The general meeting: over half of the capital for most decisions, over three quarters to change the articles |
| Liability | The company answers with its own assets, and the owner risks the capital paid in | The same for each partner |

Company registration in Bulgaria: what the Trade Register asks for and what a foreign owner needs
1 form for the Trade Register
The Registry Agency keeps the Trade Register and enters a company on one form, application A4, sent online with the founding documents, the bank's certificate for the capital and 4 declarations.
€28.12 the state fee for an online filing
A filing on paper costs €56.24. On entry the Registry Agency assigns the UIC, 9 digits that are the company's tax number too.
At home a foreign owner signs
A foreign owner needs no residence permit or local partner. The director's consent and specimen signature are certified by a local notary, with an apostille, or at a Bulgarian consulate. We sign and file the rest on a power of attorney with your notarised signature.
€172.42 a month, an owner who works in Bulgaria
An owner who works in the business in Bulgaria registers as self-insured within 7 days of starting and pays at least this sum: 27.8% of €620.20, the lowest insurable income. Dividends paid to an owner abroad carry no contributions. We file the owner's declarations each month: payroll in Bulgaria.

A Bulgarian company needs two accounts: one that holds the share capital during registration and a current account afterwards, for payments in euros through SEPA. We apply for both.
Partners
After company formation in Bulgaria: VAT, the bank account and the books
VAT number
Registration is compulsory once turnover passes €51,130 in a calendar year, and the company applies within 7 days. A company that sells services to businesses in other EU countries registers at any turnover; VAT registration in Bulgaria covers the application.
Current account
The account for daily payments comes with an IBAN in euros, cards and online banking. A Bulgarian bank opens it in 1 week to 2 months, and we prepare the application; business bank account in Bulgaria has the details.
Books from the first month
Bookkeeping begins in the month the company is entered. A VAT-registered company files a return by the 14th of each month, an employer by the 25th. The yearly tax return is due by 30 June, and the statements are published by 30 September: accounting services in Bulgaria.

Questions about a company in Bulgaria
Do I have to travel to Bulgaria to open a company?
No. Founders own and manage a Bulgarian company remotely. The director signs two papers before a notary where they live: the consent with a specimen signature and a power of attorney.
What is the difference between an EOOD and an OOD in Bulgaria?
Both are limited liability companies. An EOOD has one owner, an OOD has two or more, and the owners of an OOD write their agreement into the articles.
How much does it cost to register a company in Bulgaria?
€280 with us, paid once: the Trade Register's fee, the notary in Bulgaria and the capital deposit account are inside the price. A first year with accounting and no VAT number comes to €2,080: €280 and 12 months at €150. Both figures are before VAT.
How will I know that my company is registered?
The registration step in your account changes to done, and the company has its UIC from that entry. Anyone can then look it up.
Do you register a company whose activity needs a licence?
Yes. We file the application for the regulator's licence together with the registration, and a trading, consulting or software company needs none. The guide on how to register a company in Bulgaria names the activities that need one.
Can a foreign company own a Bulgarian company?
Yes. An EOOD can belong to a company from any country. The parent supplies an apostilled extract from its home register and its resolution to set up the subsidiary. The subsidiary declares each beneficial owner (UBO) behind it in the Trade Register.
