What accounting an Estonian company must keep
Books from the day of registration
Every OÜ keeps books from the day it is registered, under the Accounting Act. The books follow the Estonian financial reporting standard or IFRS, the international standards, and the annual accounts are written in Estonian and in euros. The financial year is the calendar year unless the articles name another, and a first year runs for up to 18 months.
Tax follows payments, not the year
Estonia asks for no yearly corporate income tax return. Tax follows payments: a salary, a director's fee, a fringe benefit or a dividend is declared in the month after it is paid. We file that declaration, the TSD return, by the 10th. Profit the company keeps bears 0%, and profit it pays out bears 22/78.
Records, e-invoices and the two portals
- Source documents and ledgers are kept for 7 years from the end of the financial year
- A buyer listed in the register as an e-invoice recipient has the right to an e-invoice in the EN 16931 format, since 1 July 2025
- Tax returns go to the Tax and Customs Board through its portal, e-MTA, and the annual report to the e-Business Register

Payroll taxes in Estonia in 2026: rates for employer and employee
We calculate each salary and fee, send the payslip and declare the month in TSD.
| Tax or contribution | Rate in 2026 | Who pays |
|---|---|---|
| Income tax | 22% | Employee, withheld |
| Basic exemption of a resident | €700 a month | On the employee's request |
| Social tax | 33% | Employer |
| Minimum social tax | €292.38 a month (33% of €886) | Employer |
| Unemployment insurance | 1.6% and 0.8% | Employee and employer |
| Funded pension, second pillar | 2%, 4% or 6% | Employee who has joined |
| Minimum wage, full time | €946 a month from 1 April 2026 | Employer |
€1,657.84A gross salary of €2,000 a month
A resident employee with the exemption and a 2% pension rate pays €32 of unemployment insurance, €40 to the pension fund and €270.16 of income tax, and takes home €1,657.84. The company adds €660 of social tax and €16 of unemployment insurance: the month costs it €2,676.
22% + 33%A director's fee
The fee bears 22% income tax and 33% social tax and no unemployment insurance, wherever the director lives. On €2,000 the company withholds €440 and pays €660. An A1 certificate from the director's home country takes the Estonian social tax away.
From 1 October 2026 salary data goes from the accounting software straight to e-MTA, where the TSD return is built from it. The first such return, for October, is due on 10 November 2026.
How you see the books and what you send each month
The books, the returns and the documents of your company sit in one account on the Legarithm platform. You write there to the person who keeps your books and get an answer within one working day.
Statements of each bank and payment account, the sales invoices you issued, purchase invoices and receipts, contracts signed in the month and changes in staff.
A return stands in the account with its figures ahead of the 10th or the 20th. You approve it there, and we file it.
The director grants us the accountant's package in e-MTA and the right to enter reports in the e-Business Register. The e-MTA grant ends on the day you set.
Tax on distributed profit in Estonia: 22/78, declared by the 10th
0% Profit that stays in the company
Profit kept or reinvested bears no income tax and enters no monthly return. A dividend is paid from an annual report the shareholders have approved.
22/78 Tax on a net dividend
The company pays 22/78 of what it pays out: €2,200 on a dividend of €7,800. Since 2025 Estonia taxes a dividend at the company only, with nothing withheld from the owner.
10th Day the payout is declared and paid for
We declare the dividend in Annex 7 of TSD, list the recipients in form INF 1 and send you the sum due by the 10th.
33% Social tax added to a fringe benefit
A benefit to an employee or a director bears income tax at 22/78 and social tax at 33%. We declare it in Annex 4 of TSD.
The annual report of an Estonian company: deadline, contents, audit
30 JuneThe annual report, due in 6 months
The management board files the annual report in the e-Business Register within 6 months of the end of the financial year: by 30 June for a calendar year. We prepare it, you approve the figures in your account, and the director signs it digitally or on paper.
€450,000Micro and small undertakings
A micro undertaking stays within two of three limits: €450,000 of assets, €900,000 of income, 10 employees. It files a balance sheet, an income statement and short notes. A small undertaking, within two of €7.5 million, €15 million and 50 employees, adds a management report.
2 of 3Indicators make a review or an audit compulsory
A review or an audit is compulsory once two of the three indicators in the table are passed. One alone is enough above €6 million of income, €3 million of assets or 72 employees for a review, and above €15 million, €7.5 million or 180 for an audit. A sworn auditor signs the report, and that role is arranged as part of our service.

Questions about accounting services in Estonia
Is accounting mandatory for an Estonian company?
Yes. Every OÜ keeps books under the Accounting Act and files an annual report for each financial year, including a year with no sales and no costs.
Can the accounting of an Estonian company be done remotely?
Yes. Tax returns are filed in e-MTA and the annual report in the e-Business Register, both online. You approve each one in your account, as with our other outsourced accounting services.
When must an Estonian company register for VAT?
Once its taxable sales in Estonia pass €40,000 in a calendar year. The application is due within 3 working days, and the Tax and Customs Board registers the company within 5. The company proves in the application that it does business in Estonia or is about to start: a business plan, a preliminary contract or a lease is proof. A new company can ask for the number in the application that registers it: company formation in Estonia.
When are VAT returns due in Estonia?
By the 20th of the month after each calendar month, with the VAT paid by the same day. The annex KMD INF lists the invoices of every business partner that reach €1,000 before VAT in the month. In the return the company deducts the VAT on its purchases from the 24% it charges on sales in Estonia. Goods sent to a VAT-registered business in another EU member state are declared at 0%, as are services taxed in the customer's member state.
What is the corporate tax rate in Estonia in 2026?
0% on profit the company keeps and 22/78 on profit it pays out, which equals 22% of the gross amount. The 14% rate for regular dividends ended on 1 January 2025.
What changed in Estonian taxes in 2026?
The rates of 2025 stayed: 0% on profit kept, 22/78 on profit paid out and 22% income tax on salaries. VAT has stood at 24% since 1 July 2025 and no longer has an end date. On 18 June 2025 Parliament repealed the security tax before its start on 1 January 2026: 2% of personal income and of a company's yearly profit, kept or paid out. On 3 December 2025 it struck out the rise of income tax and of the rate on distributed profit to 24%, set for 1 January 2026. New in 2026: the basic exemption is €700 a month and no longer falls as income rises.
Does a company with no activity file an annual report?
Yes, within 6 months of the year end. We prepare a dormant company's report from its bank statements and file it.
Who regulates accounting and tax in Estonia?
The Tax and Customs Board collects the taxes and receives the returns. The Accounting Act and the guidelines of the Accounting Standards Board set the bookkeeping rules.
