Accounting rules for a Cyprus company: books, IFRS and the annual return
IFRSBooks and statements under the Companies Law
The Companies Law, Cap. 113, asks every Cyprus company for books of account that explain each transaction and show its financial position at any time. The yearly financial statements follow IFRS, the International Financial Reporting Standards. Cyprus has no shortened accounts for small companies: a holding with 3 entries a year prepares the same set as a trading group.
60 daysWhat a new company registers, and when
- A tax number (TIC) with the Tax Department, within 60 days of incorporation
- Each beneficial owner (UBO) in the Registrar's register, within 90 days of incorporation
- VAT, once taxable turnover passes €15,600 in 12 months
- The company as an employer, before the first hire: payroll in Cyprus
28 daysThe annual return, form HE32
A company holds its first annual general meeting within 18 months of incorporation, then one in every calendar year, with up to 15 months between two meetings. The annual return, form HE32, reaches the Registrar of Companies within 28 days of its date, with a €20 filing fee and the financial statements attached. The guide to Cyprus accounting requirements lists a new company's first filings by date.
The €350 annual levy was abolished from 2024. The yearly filing with the Registrar is the annual return, with its €20 fee.

…they handled my Cyprus company setup while I was still in London. Smooth remote process and great communication.
We set up a company in Cyprus. Nobody pushed extra services, everything was to the point. They explain things clearly, give a real timeline and help with the tax details.
Everything is well coordinated and clear. Half an hour of the first meeting was more useful than two weeks of trying to work it out myself.

Which Cyprus companies we keep books for
We record dividends, loans and shareholdings as they happen and prepare consolidated statements when the company has subsidiaries.
We book sales by country, apply the VAT of each sale and file the VIES statements from one set of books.
We keep the income and the development costs of your own IP apart from the rest, which is what the IP Box claim in the tax return needs.
Payroll runs with the books: payslips, social insurance and the employer's returns come from the same accountant.
A dormant company still prepares statements and files returns. We keep it on a small monthly plan.
Filing dates of a Cyprus company and the fines for a late filing
We file each of these on its date. The fine is what the authority charges when a filing is late.
| Filing or payment | Due | Fine if late |
|---|---|---|
| VAT return and its payment | 10th day of the second month after the quarter | €100 a return, plus 10% of the VAT paid late |
| VIES statement | 15th day of the next month | €50 a statement |
| Social insurance and GeSY, the health system | End of the next month | 3% in the first month, then 3% more a month, up to 27% |
| Provisional tax | 31 July and 31 December | 10% of the tax underpaid when the estimate is under 75% of the final profit |
| Corporate tax return | 31 January of the second year after the tax year (2025: 31 March 2027) | €250, or €500 when turnover or assets pass €1 million |
| Balance of corporate tax | With the return | 5% of the tax, 5% more after 2 months, plus interest of 3.5% a year |
| Annual return (HE32) | 28 days after the return date | €50, then €1 a day, up to €150 |
| Beneficial owners, yearly confirmation | 1 October to 31 December | €100, then €50 a day, up to €5,000 |
Audit requirements for a Cyprus company: the yearly audit, the review, the records
Every year Audit
A licensed Cyprus auditor signs the financial statements of every company, active or dormant. We prepare the file and answer the auditor's questions for you.
€300,000 Review for small companies
A company with turnover under €300,000 and assets under €500,000 for 2 years running takes a review, a lighter check by a licensed auditor. The rule covers financial years from 6 February 2026.
6 years Records
The law asks for the books and their supporting documents for 6 years. We keep them in your account alongside the returns they support.
How you see the books: one account for the company
One account, on the web and on your phone
Your company has one account on the platform, on the web and on your phone. You photograph or upload a document, and your accountant books it. Each month shows as open or closed, with its income, its costs and the documents that are still missing.
What you send each month
- Sales invoices you issued
- Purchase invoices and receipts
- Statements of every bank and payment account
- Contracts and loan agreements signed in the month
- Changes in staff: hires, leavers, bonuses and leave
Every filing, with its date and its person
The account shows every filing of the company with its date and the person who handles it. You approve a return there before it is filed, and you write to your accountant there: the answer comes from the person who keeps your books.
One login for a holding and its subsidiaries
A holding and its subsidiaries share one login. For the yearly review of the bank account in Cyprus the platform holds the latest audited accounts beside the company's certificates.
