Cyprus vs UAE for a holding company: the rules side by side
A holding company owns shares in other companies, collects their dividends and one day sells them. We form it in either country: company formation in Cyprus is expected in 8 to 12 working days, and company formation in the UAE in 1 to 5 for a free-zone licence.
| Point | Cyprus | UAE |
|---|---|---|
| Dividends received | Exempt. A 5% defence contribution where the payer is a passive company taxed below 7.5% | From a UAE company: exempt. From abroad: exempt for a stake of 5%, held 12 months, in a company taxed at 9% or more |
| Gain on the sale of shares | Exempt, except shares of companies with real estate in Cyprus | Exempt on the conditions set for foreign dividends |
| Interest, fees and other profit | 15% | 0% up to AED 375,000 of taxable income, 9% above |
| Free-zone regime | None | 0% on dividends and gains for a Qualifying Free Zone Person |
| Dividends paid to owners abroad | No withholding tax, with two exceptions | Withholding tax of 0% |
| Tax treaties | More than 65, and the EU directive on parent companies and subsidiaries | 137 |
| Yearly audit | Every company, with a review for a small one | A Qualifying Free Zone Person, revenue above AED 50 million, a mainland LLC, or where a free zone asks |
| Formation with us, before VAT | from €1,699 | from $3,000 offshore, from $7,000 in a free zone |
Dividends received: the Cyprus exemption against the UAE participation exemption
Cyprus exempts a dividend from corporate tax at any size of stake and after any holding period. One charge can remain, the Special Defence Contribution of 5%. It falls on a foreign dividend only when two things are true together. More than half of the paying company's activities produce investment income, and its profit bears an effective tax below 7.5%. The rule in full is in our guide to the Cyprus holding company.
The UAE treats two kinds of dividend apart. A dividend from another UAE company is exempt with no conditions. A dividend from a company abroad is exempt when the shares are a participating interest under Article 23 of the corporate tax law:
- a stake of 5% or more, or shares that cost AED 4 million or more
- held for 12 months without a break, or bought with that intention
- in a company whose country taxes profit at 9% or more, or which pays an effective 9%
- with a right to 5% or more of the profits and of the proceeds of a liquidation
- for a related company, with no more than half of its assets in holdings that would fail these tests
A free-zone holding company has a second route. Holding shares for investment is a listed activity, so a Qualifying Free Zone Person pays 0% on dividends and gains from shares held for 12 months, whatever tax the subsidiary pays. In return it keeps adequate staff, assets and spending in the zone, has its accounts audited and keeps non-qualifying income within 5% of revenue. The guide to the Qualifying Free Zone Person has the conditions.
The same subsidiary under each rule
| Subsidiary | Cyprus holding company | UAE company, ordinary rules |
|---|---|---|
| Trading company taxed at 9% or more, stake of 5% or more | Dividend exempt | Dividend exempt |
| Trading company in a country with no corporate tax | Dividend exempt | Dividend taxed at 0% and 9% with the other profit |
| Investment company in a country that taxes profit below 7.5% | 5% defence contribution, less the tax withheld abroad | Dividend taxed at 0% and 9% with the other profit |
| Stake of 3% that cost less than AED 4 million | Dividend exempt | Foreign dividend taxed, UAE dividend exempt |
Selling a subsidiary: how each country taxes the gain
Cyprus exempts the profit on a sale of shares. One case is taxed: shares of a company that owns real estate in Cyprus, where capital gains tax of 20% applies.
The UAE exempts the gain on the terms of the participation exemption, once the 12 months have passed, and for a sale those terms cover UAE subsidiaries too. Three details:
- A loss on a sale is left out of the tax base like a gain. A loss on the liquidation of a subsidiary stays deductible.
- If the stake falls below 5% before the 12 months are complete, income left out earlier becomes taxable.
- Fees paid to buy or sell the shares are not deductible.
A sale between the two countries falls under their tax treaty of 27 February 2011: the gain is taxed only in the country where the seller is resident.
Dividends paid out, withholding tax and tax treaties
Cyprus withholds nothing on dividends, interest and royalties paid to non-residents, with two defensive exceptions for dividends. A company linked to the payer by more than 50% and resident in one of the 11 low-tax jurisdictions on the Tax Department's list for 2026 receives its dividend less 5%. One in a jurisdiction on the EU blacklist receives it less 17%. The UAE is on neither list, so a Cyprus company pays its UAE parent in full.
The UAE applies withholding tax at 0% and takes no income tax from an individual, so a UAE company pays its owner in full. Between the two countries the treaty of 2011 fixes the same result in both directions: dividends, interest and royalties are taxed only in the country of the recipient.
With third countries the networks differ in kind. Cyprus has agreements with more than 65 countries and, as an EU member, the directive on parent companies and subsidiaries. Under the directive a subsidiary in another member state pays its dividend free of withholding tax to a Cyprus parent with 10% or more of its capital. The UAE has concluded 137 agreements, and each sets its own rate at source: see the guide to UAE double tax treaties.
Worked example: the same year in a Cyprus and in a UAE holding company
A holding company has three items of income in 2026 and no costs. The figures are in dirhams for both countries, so that the rules alone differ. The UAE company is under the ordinary rules, as an offshore or a mainland company is.
| Income in 2026 | Cyprus tax | UAE tax |
|---|---|---|
| Dividend of AED 3,000,000 from a trading subsidiary taxed at 20% | AED 0, exempt | AED 0, exempt |
| Dividend of AED 1,000,000 from a trading subsidiary in a country with no corporate tax | AED 0, exempt | Taxable |
| Interest of AED 400,000 on a loan to a subsidiary | AED 60,000, at 15% | Taxable |
| Tax for the year | AED 60,000 | AED 92,250 |
In the UAE the taxable income is AED 1,400,000. The first AED 375,000 bears 0% and the remaining AED 1,025,000 bears 9%, which is AED 92,250. Had the second subsidiary paid tax at 9% or more, both dividends would be exempt, the taxable income would be the interest of AED 400,000, and the tax AED 2,250.
As a Qualifying Free Zone Person the UAE company would pay 0% on both dividends once it has held the shares for 12 months.

The 15% minimum tax for large groups in Cyprus and the UAE
Both countries apply the global minimum tax of 15% to groups with consolidated revenue of €750 million or more. Cyprus follows the EU directive and adds a domestic top-up tax of its own for financial years from 2025. The UAE charges a domestic minimum top-up tax for financial years that start on or after 1 January 2025, where the group passed €750 million in two of the four years before. A holding company of a smaller group is outside both.
Substance: what each country expects of a holding company
A company incorporated in Cyprus is tax resident there from 1 January 2026, unless a tax treaty places it elsewhere. Treaty partners and banks look further, at where the company is run: directors who decide in Cyprus and board meetings held there are the usual evidence.
The UAE closed its Economic Substance Regulations for financial years that end after 31 December 2022. No notification and no report is filed for them: see the guide to the Economic Substance Regulations in the UAE. Substance now comes from the corporate tax law. A Qualifying Free Zone Person carries out its core activities in the zone with adequate staff, assets and spending, and the law sets no figures for them. A company under the ordinary rules has no such test.

Best jurisdiction for a holding company: Cyprus or the UAE, group by group
- Subsidiaries or investors in the EU: Cyprus. The directive removes withholding tax on dividends from member states, the gain on a later sale is exempt, and European banks know the company.
- A group that operates in the Gulf, with an owner who lives in the UAE: the UAE. Dividends from UAE subsidiaries are exempt outright, the owner pays no income tax, and a free-zone or mainland company brings a residence visa.
- Subsidiaries in countries with little or no corporate tax, or small stakes in many companies: Cyprus, or a UAE free-zone company that qualifies for 0%.
- A business in both countries: either company can sit on top. Dividends pass between them with no tax withheld, and each country exempts what its company receives from a trading company of the other.
