ADGM (Abu Dhabi Global Market) is a world-class international financial centre on Al Maryah Island that applies English common law directly, with its own independent courts and the FSRA regulator. You get 100% foreign ownership, 0% corporate tax on qualifying income, 0% personal tax, no withholding taxes and no currency restrictions — the setup of choice for funds, family offices, SPVs and fintech.

Legarithm manages the full ADGM formation — vehicle selection (SPV, foundation, private company, branch), FSRA regulatory applications where needed, KYC/UBO and AML compliance, office lease, data-protection registration and visas — with English-language documentation throughout.

ADGM Company Formation in Abu Dhabi

Why set up your ADGM company with Legarithm

ADGM is powerful because it lets you separate risk, capital, IP and people across the right vehicles — but the wrong structure is expensive to unwind a year later. The real value isn’t the incorporation; it’s choosing SPV vs foundation vs operating company vs a regulated firm, and getting the FSRA, substance and compliance right from day one.

As a registered UAE corporate services provider with direct ADGM experience, we design your structure, handle the Registration Authority and (where relevant) FSRA in-principle approval, and manage KYC/UBO, AML/CRS, data protection and visas as one team — no sub-agents, one flat quote — and we’ll tell you honestly whether ADGM, DIFC or an offshore vehicle fits you best.

Who ADGM is for

From fund managers to family offices and holding structures — find the profile that fits you.

A fund manager or asset manager

ADGM’s fund framework supports venture, PE, hedge and Sharia-compliant vehicles under a respected common-law regulator (FSRA).

A family office or HNW individual planning succession

ADGM foundations are a leading tool for succession, asset protection and endowments — a company/trust hybrid with a council and beneficiaries.

Building a holding or SPV structure

An ADGM SPV isolates shares, real estate, IP or financing with a simplified structure and no physical office.

A fintech, crypto or regulated firm

ADGM offers a progressive regulatory sandbox and FSRA licensing for fintech, virtual assets and advisory practices.

An international company entering Abu Dhabi

Register a branch or operating company under English common law with English-language documentation.

We'll set up your ADGM company efficiently and in full legal compliance.

Our experts guide you through the whole process — vehicle choice, Registration Authority, FSRA where needed, compliance and visas — so your ADGM structure is sound from day one.

ADGM entity types (vehicles)

Pick the right vehicle — separate risk, IP and capital instead of overloading one company.

Private Company (LTD / CLS)

The default for most operating businesses — supports visas, leases and contracts. A restricted-scope version lightens disclosure for family offices.

SPV (Special Purpose Vehicle)

A simplified company for holding shares, real estate, IP or isolating financing — no physical office needed.

Foundation

A company/trust hybrid with a council and beneficiaries — a leading tool for succession, asset protection and endowments.

Regulated firm / fund

Fund managers, fintech and advisory: FSRA in-principle approval (IPA) then registration — venture, PE, hedge and Sharia-compliant funds.

Branch

A foreign company can operate in ADGM via a branch, with no new share capital.

  • A registered office within Al Maryah Island or Al Reem Island in Abu Dhabi
  • Operating companies lease and register space; SPVs and certain vehicles use a registered office via a licensed provider — no physical office needed

ADGM vs DIFC (and offshore)

See how ADGM compares to DIFC and offshore centres on law, cost and best-fit.

Factor ADGM (Abu Dhabi) DIFC (Dubai) Offshore (Cayman / BVI)
Legal system English common law + own courts English common law + own courts Common law
Regulator FSRA DFSA Local authority
Tax 0% qualifying · 0% personal 0% qualifying · 0% personal 0%
Substance / presence UAE substance, registered office UAE substance, registered office Minimal
SPV office No physical office needed No physical office needed None
Best for Funds, family offices, SPVs, fintech Finance, funds, fintech, prestige Pure holding, low substance
Relative cost Competitive vs DIFC Higher Lowest, but weaker banking/substance

*ADGM and DIFC are both top-tier common-law centres; ADGM is often more cost-competitive and strong on SPVs, foundations and funds, while DIFC has the largest financial-district network. Offshore (Cayman/BVI) is cheaper but offers weaker UAE substance and banking. We’ll recommend the right home for your structure.

Step-by-step ADGM setup roadmap

ADGM company formation runs in five clear steps from business scope to a live ADGM entity, with realistic timelines.

  • Step 01

    Scope & structure

Draft a short business plan (activities, revenue model, headcount, any regulated touchpoints) and choose your vehicle. For the Tech Startup Licence, secure the Hub71 approval letter first.

  • Step 02

    Reserve your name

Clear ADGM’s sensitive-terms rules (e.g. ‘Bank’, ‘Emirates’, ‘Abu Dhabi’ need approvals) and keep the name consistent across articles, banking letters and lease.

  • Step 03

    Secure your office

Lease and register space on Al Maryah or Al Reem Island — or use a registered office via a licensed provider for an SPV. Space drives visa quota, so plan early.

  • Step 04

    File documents & incorporate

Submit passports/IDs, proof of address and source of wealth (25%+ owners), articles and resolutions. Regulated firms first obtain FSRA in-principle approval (IPA).

  • Step 05

    Compliance, banking & visas

Register with the Data Protection Office, complete AML/CRS, open a corporate account and process visas.

Frequently Asked Questions

Still have questions?

Can't find the answer to your question? Send us an email and we'll get back to you as soon as possible!
How long does ADGM company formation take?

ADGM company formation for non-regulated entities (operating company, SPV, foundation) can complete in days once your documents are ready. Regulated firms and funds take longer — they need FSRA in-principle approval (IPA) before incorporation, typically several weeks to a few months. We prepare the file to keep ADGM company formation moving without avoidable delays.

Do I need to visit Abu Dhabi to set up an ADGM company?

Not for the company itself — ADGM incorporation runs on documents and can be arranged remotely with English-language paperwork. You’ll usually make one short visit if you take a residence visa (medical, biometrics, Emirates ID). SPVs and foundations often need no visit at all.

Can I open a UAE bank account with an ADGM company?

Yes. ADGM’s common-law framework and Abu Dhabi standing are well-regarded by UAE banks, and a clear structure and source-of-funds file are key. We prepare KYC and make targeted introductions. For bookkeeping and audit that banks expect, see our UAE accounting services.

Can I get UAE residency or a Golden Visa through ADGM?

Yes. An ADGM operating company supports investor and employee residence visas (quota depends on your office), and eligible investors and specialists may qualify for the 10-year UAE Golden Visa. SPVs and foundations without staff typically don’t carry visa quotas.

Can an ADGM company operate in mainland UAE?

ADGM is a financial centre, so direct B2C retail or your own onshore premises in mainland UAE need a mainland company. B2B contracts and financial services under FSRA are ADGM’s core. For onshore trading, compare with UAE company formation — we’ll advise on the right split.

ADGM or a free zone (RAKEZ/IFZA) — which should I choose?

Choose ADGM for funds, family offices, SPVs, foundations and regulated/fintech activity under English common law. Choose a free zone for low-cost trading, services or industry — see RAKEZ or IFZA. Many clients pair an ADGM holding/SPV with a free-zone operating company.

Can I run a crypto or virtual-asset business in ADGM?

Yes — ADGM has a progressive framework and FSRA licensing for virtual assets and fintech, including a regulatory sandbox. Crypto activity is regulated, so plan for FSRA approval. We also advise on the alternative UAE crypto licence (VARA in Dubai) if that fits better.

Can I move an existing company into ADGM (redomiciliation)?

Yes. ADGM allows continuation (redomiciliation) of an eligible foreign company, so you can transfer your existing entity into ADGM’s common-law framework without dissolving it — keeping your history and contracts. We assess eligibility and manage the continuation filing.

What accounting and audit does an ADGM company need?

ADGM companies generally file annual audited accounts and a confirmation statement with the Registration Authority, plus AML/CRS and Data Protection Office compliance. SPVs have lighter obligations. We handle bookkeeping, audit coordination and filings — see UAE accounting services.
